Many listings require a Non-Disclosure Agreement (NDA) before detailed information is shared. This protects the seller's confidential business data.

How NDAs Work on Bizzy

Open a listing that requires an NDA
Review the NDA displayed on the listing detail page
Sign electronically using your account
Depending on the listing's settings, diligence access may be automatic or may remain pending seller review in Deal Pipeline
Once approved, you can view NDA-gated structured details and available external diligence links

Signing an NDA does not always approve external-link access. Some listings require a separate seller decision.

External Content

Bizzy does not accept or host seller diligence files. It does not download, scan, verify, parse, or preview content reached through an external diligence link. The seller controls permissions at the third-party provider, and buyers should verify the provider before entering credentials or opening a downloaded file.

NDA Lifecycle

Activation — Sellers can activate or deactivate the listing NDA
Access review — Manual-review requests are approved or denied in Deal Pipeline
Expiration — After an NDA expires, a buyer must re-sign before regaining Bizzy access
Revocation — Revoking Bizzy access does not revoke a URL or provider permission already received
Notifications — Sellers receive in-app notifications when access activity needs attention

Seller setup and refreshed terms

Listing owners can choose Provide Custom NDA Text under NDA & confidential diligence, enter their terms, and select Preview agreement before enabling the NDA. Previewing does not save or activate the agreement. The preview uses the same plain-text normalization as saving: extra whitespace and control characters are cleaned up, and HTML is displayed as literal text rather than rendered markup. Close the preview to continue editing. On phones, the bottom navigation temporarily hides while a text field is focused, leaving more room for your terms; it returns when focus moves away from text entry.

A seller activating a Bizzy platform NDA must provide a non-empty business name and jurisdiction. Bizzy uses those values in the agreement's party and governing-law clauses. If the NDA version or duration changes after a signing form was opened, that form is stale; refresh the listing, review the current agreement, and try again.

Each successful review-bound signing is tied to the NDA version and duration the signer reviewed. Re-signing updates the current access projection but does not rewrite earlier review-bound signing evidence.
